Board of Directors Meeting

Call to order by President Ellen Rosewall.

 

Introduction of new WPRA board members:  Merrick, and Jones-Bey

 

The minutes were read from the January 12, 2007 Board meeting and were corrected.  Barbara Gilmore’s name was inadvertently left off the list of the Board members present.  Her name was added and the minutes were approved as amended.  Approval moved by Pat Sebranek and seconded by Teri McCormick. Motion passed unanimously.

 

Russ Melland of Johnson Bank made the annual presentation on the investments of the board that are managed by Johnson Bank. 

 

The Development Committee reported that there will be a joint presentation by the Development and Finance Committees on planned giving at the Board’s Fall Retreat. 

 

The Finance Committee chair, Gary Lichtenberg, discussed a Corporate Resolution regarding the sale of stocks received as part of bequests to WPRA.  A resolution giving the President of WPRA authority on behalf of the Board to sign the sale documents for stocks received as part of bequests or contributions to WPRA, within 60 days of receipt by the Board, was moved by Teri McCormick and seconded by Barbara Gilmore and passed unanimously.

 

Patty Stockdale presented the draft budget.  A motion to approve the draft budget subject to any adjustments deemed necessary at the September meeting, was made by Teri and seconded by Joan.  A discussion ensued.  The motion was approved unanimously. 

 

Board Operations Committee chair David Steele reported on that committee’s recommendation for Board officer elections.  The Operations Committee recommended: Ellen Rosewall for President, Gary Lichtenberg for Vice-President, Sheehan Donoghue for Secretary, and Bill Merrick for Treasurer.  Dave Steele moved adoption of the slate as presented and Pat Sebranek seconded.  The vote was approved unanimously. 

 

A discussion was held by the board on the vacancies remaining on the board.  The discussion was suspended to allow time for public comment to the Board.

 

Plaques were given to departing Board members thanking them for their service on the Board and to the Wisconsin Public Radio Association.  Departing Board members given plaques were:  Bernie Kubale; Pat Sebranek; Barbara Lorman; Dave Hildebrand; and Teri McCormick.  Wendy Wink, Executive Director of Wisconsin Education Board, resigned her position and was recognized for her excellent service to the WPR, WPRA and ECB.

 

Lee Bock moved and Michael Sigman seconded the appointments of Chet Gerlach and Laura Gintz Jasper to the WPRA Board.  The appointments are subject to the candidate’s acceptance.

 

President Rosewall appointed an Ad Hoc committee for studying the website and proposed use of the website by the general public as well as the members of the Association.  The committee is composed of Ellen Rosewall, Joan Rudnitzki, and Michael Sigman.

 

A proposed policy for Board/Community Relations was presented to the Board.  Sheehan moved adoption and Pat Sebranek seconded.  The motion was unanimously adopted.

 

The Regional Managers will report to the Board at the Fall Retreat regarding their efforts to develop regional committees and a volunteer base in their regions. 

 

The Fall Retreat will be held September 27 and 28, 2007 in La Crosse.  The meeting was adjourned.
